Terms of Service

1. Acceptance of Terms

By installing, authenticating, or utilizing the Gift Lift Shopify App ("the App"), developed and maintained by Helios Technology Solutions Inc., you agree to be bound by these strict Terms of Service ("Terms"). If you are accepting these Terms on behalf of a corporation or other legal entity, you represent and warrant that you have the full authority to bind such entity to these Terms.

2. Description of Service & Plan Tiers

Gift Lift provides a deterministic software-as-a-service pipeline engineered specifically for migrating legacy corporate liabilities (gift cards) into the Shopify Plus ecosystem. Our infrastructure is provisioned across three computing tiers:

  • Sandbox / Basic Plan: Free tier allowing up to 10 rows per upload. Strictly designed for developer evaluation and Dry-Run data validation. Excludes background orchestration and pause/resume execution.
  • Pro Plan: Facilitates up to 1,000 gift cards per payload. Unlocks our idempotent pause/resume architecture, background sync processing, and secure automated email completion receipts.
  • Enterprise Plan: Designed for high-volume replatforming. Features unlimited processing caps, dedicated API worker pools, custom legacy mapping assistance, and priority engineering escalation.

Helios Technology Solutions Inc. reserves the right to modify these compute limits, pricing, and infrastructure features at any time, with explicit prior notice distributed to active administrative users.

3. Merchant Responsibilities

Data Integrity & Accuracy: You are solely and completely responsible for the accuracy, legality, and structural integrity of the legacy data you upload via CSV. While our algorithmic "Dry-Run" pre-flight engine accurately detects formatting anomalies and ledger duplicates, Gift Lift cannot, and does not, verify the mathematical or historical validity of the financial balances you provide.

Legal Compliance: You explicitly guarantee that you possess the legal authority to issue and migrate these specific financial liabilities. You agree to utilize the App in strict compliance with Shopify's Acceptable Use Policy, PCI-DSS guidelines where applicable, and all relevant local, state, and international financial regulations.

4. Billing, Invoicing, and Payments

All financial transactions for Pro and Enterprise subscriptions are processed securely and exclusively through the native Shopify Billing API. All associated application charges will populate on your standard monthly Shopify platform invoice.

Refunds are governed strictly by Shopify's standardized App Billing policies. If you sever the connection by uninstalling the application, future recurring billing cycles will terminate automatically. However, previously remitted compute and licensing amounts are entirely non-refundable.

5. Warranties and Disclaimers

Idempotent Execution: While Gift Lift is mathematically engineered with a fault-tolerant, idempotent architecture specifically designed to prevent the duplication of gift card liabilities, the software is provided strictly on an "AS IS" and "AS AVAILABLE" basis.

We do not warrant that the service will remain entirely uninterrupted or error-free. Our mutation engine's throughput relies directly upon the real-time uptime, health, and latency of the third-party Shopify GraphQL Application Programming Interface.

6. Limitation of Liability

To the maximum extent permitted by governing law, in no event shall Helios Technology Solutions Inc., its directors, engineers, or affiliates be held liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of expected profits, database corruption, goodwill, or other intangible losses resulting from:

  • Your access to, use of, or inability to interface with the App's orchestration pipeline.
  • Any computational or human errors present within your internally uploaded legacy financial data.

Our total aggregate liability for any operational or legal claims arising under these Terms shall be strictly capped to the total gross amount you remitted to us for App licensing in the twelve (12) calendar months immediately preceding the formal claim.

7. Intellectual Property

The underlying software architecture, GraphQL orchestration methodologies, UI/UX framework, and proprietary sanitization algorithms contained within the Gift Lift application remain the exclusive, protected intellectual property of Helios Technology Solutions Inc. You retain full, unencumbered ownership and intellectual property rights over all store configuration data and legacy CSV ledgers you transmit into our system.

8. Termination of Service

You retain the right to terminate this agreement at your discretion by permanently uninstalling the App from your active Shopify administrative dashboard. Helios Technology Solutions Inc. explicitly reserves the right to immediately suspend, throttle, or terminate your instance connection, without prior notice or financial liability, in the event of a breach of these Terms or suspected malicious API abuse.
